Thank you for visiting this website (this “Site”), which is owned by AVIREX. ("AVIREX"). Your privacy is important to us. To keep you informed, we provide this Privacy Notice (this “Notice”) explaining our online information practices and the choices you can make about the way your information is collected and used. To make this Notice easy to find, we make links available to it on our homepage and at points where Personal Information may be requested.

AVIREX GROUP reserves the right to change, modify, add to or remove portions of this Notice at any time. Please check this page periodically for any changes. If material changes are made to this Notice, AVIREX GROUP will post a statement to that effect on the first page of this Privacy Notice. Privacy Notice changes will apply to the Personal Information collected from the Effective Date of the revised Privacy Notice to AVIREX GROUP's Site. AVIREX GROUP will always apply the version of the Privacy Notice under which your information was collected, unless we obtain your prior consent.

SCOPE OF THIS NOTICE: This Notice applies only to information collected through this Site. This Notice does not apply to information collected through other channels, such as in person, on paper, or by phone.

YOUR CONSENT: By using this Site, you are consenting to the collection, use, disclosure, and transfer of your information as described in this Notice. If you do not consent to the collection, use, disclosure and transfer of your information as described in this Notice, you may not use this Site.

INFORMATION WE MAY COLLECT

Personal Information: AVIREX GROUP collects Personal Information that our visitors manually provide using their mouse, keyboard, mobile touch screen, or otherwise. We also collect information you provide when you register with this Site, log on to your account, or enhance your profile on this Site by choosing to automatically populate the requested data fields with information.

"Personal Information" may include (but is not necessarily limited to) your name, or company name,  email address, phone number, mobile device number. The Personal information we collect is used by AVIREX GROUP and our third-party partners for the purposes enumerated below and on our Site:

  • Customer Service: On some pages our visitors can submit comments or ask questions. We also collect Personal Information when you send us emails containing questions or requests. While we retain information in our customer service database in order to provide better service to our customers, we only save Personal Information associated with questions, comments, and requests in this database in order to respond to those questions and requests, and to better serve you when responding to any questions or requests you may have in the future.
  • Accounts: When you register with us, AVIREX GROUP collects Personal Information in order to save preferences and Wish List information. This provides you with a personal experience when you use our Site. You may review and edit your Personal Information at any time by logging in to your account or may request changes by contacting us at website.

 

INFORMATION COLLECTED AUTOMATICALLY: AVIREX GROUP, its Service Providers, and/or Third-Party Services may also automatically collect certain information about you when you access or use the Site (“Usage Information”). Usage Information may include IP address, device identifier, browser type, operating system, information about your use of the Site, and data regarding network connected hardware (e.g., computer or mobile device). Except to the extent required by applicable law, or to the extent Usage Information is combined by or on behalf of AVIREX GROUP with AVIREX GROUP-Collected PI, AVIREX GROUP does not consider Usage Information (including, without limitation, unique device identifiers) to be Personal Information or AVIREX GROUP-Collected PI.

 

TRACKING TECHNOLOGIES: Regular cookies may generally be disabled or removed by tools available as part of most commercial browsers, and in some instances blocked in the future by selecting certain settings. Browsers offer different functionalities and options so you may need to set them separately. Also, tools from commercial browsers may not be effective with regard to Flash cookies (also known as locally shared objects), HTML5 cookies, or other Tracking Technologies. Please be aware that if you disable or remove these technologies, some parts of the Site may not work and that when you revisit the Site your ability to limit browser-based Tracking Technologies is subject to your browser settings and limitations.

SHARING OF INFORMATION: Except as set forth in this Notice, we do not share your Personal Information unless you have given us permission to do.

At times, we employ other companies and individuals to perform certain functions on our behalf. Examples include removing repetitive information from customer lists, analyzing data, providing marketing assistance, sending emails and text messages and processing credit card payments. In the scope of providing services on behalf of AVIREX GROUP, these third parties may have access to your Personal Information. Using contractual or other arrangements, AVIREX GROUP will ensure that these agents, contractors and third-party service providers, who may receive Personal Information in the course of providing services to AVIREX GROUP, protect the Personal Information in a manner consistent with the principles set out in this Privacy Notice and as required by law.

AVIREX GROUP may also disclose Personal Information to conform to or comply with the law or where such disclosure is necessary to protect our Site, our company, our employees, our Site visitors, or the general public.

If AVIREX GROUP is involved in a sale or transfer of all or a substantial portion of its business assets, information about you may be among the transferred assets. Any third party to whom we sell or transfer assets will have the right to continue to use your Personal Information in the manner described in this Privacy Notice.

RETENTION OF INFORMATION: AVIREX GROUP retains information collected through our Site for as long as the information is relevant to our business purposes or as permitted by applicable law, unless you request deletion of your Personal Information, in which case we will take reasonable steps to comply with your request. Please keep in mind that AVIREX GROUP cannot delete information which you have shared with others through discussion/social networking forums.

OUR COMMITMENT TO DATA SECURITY: AVIREX GROUP employs physical, electronic, and organizational safeguards to protect the confidentiality and security of our online visitors' Personal Information.

Although we use reasonable measures to help protect your information, including against unauthorized use or disclosure, we cannot guarantee the security of information provided over the Internet or stored in our databases and will not be responsible for breaches of security beyond our reasonable control.

HOW YOU CAN ACCESS, CORRECT OR DELETE YOUR PERSONAL INFORMATION: Visitors may review and modify Personal Information stored by AVIREX GROUP by accessing their account. Stored Personal Information does not expire and is retained until you request that it be deleted from our database (as permitted by applicable law and subject to any limitations described in this Notice). If you would like to remove your name and Personal Information from our records, please contact us using the information provided below.

YOUR CHOICES: We respect your right to make choices about the ways we collect, use, and disclose your information. This Notice describes some of your choices, such as your choice to opt out of receiving “cookies.”

THIS SITE IS HOSTED ON SERVERS LOCATED IN THE UNITED STATES: AVIREX GROUP is a U.S. corporation. The servers that support this Site are located in the United States. While it is in our possession, your information will generally be stored in AVIREX GROUP databases or databases maintained by our third-party service providers on servers and data storage devices located in the United States. U.S. data protection laws may not provide as much protection as the data protection laws in force in some other countries, however, we will process your information in accordance with this Notice no matter where our data is stored. If you are located in a country outside the United States, by using our Site you consent to the transfer and storage of your information to the United States.

We are committed to keep informed about the changes that may be suffered by this privacy notice, through email that has been provided.

CONFIDENTIALITY STATEMENT

Purpose: In order to further explore a project of mutual interest between AVIREX GROUP LLC (hereafter “AVIREX”) and the Recipient, i.e. the THE CLIENT __________ project (hereinafter the “Project), AVIREX may disclose certain information which AVIREX desires the Recipient to treat as confidential.

“Confidential Information”: means any of the information that may be provided by AVIREX relating to (i) the Project; (ii) AVIREX’s technology and products used and/or owned by AVIREX, including but not limited to, technical data, trade secrets, know-how, research, product plans, ideas or concepts, software, inventions, patent applications, processes, developments, algorithms, formulas, technology, designs, schematics, drawings, engineering, and hardware configuration information (collectively, «Technical Information»); and/or (iii) AVIREX’s operations and business or financial plans or strategies, including but not limited to customers, customer lists, markets, financial statements and projections, product pricing and marketing, financial or other strategic business, plans or information and environmental circumstances such as meetings of AVIREX and the Recipient (collectively, «Business Information»), disclosed to the Recipient by AVIREX either directly or indirectly, in writing, orally or by drawings or inspection of samples, equipment or facilities.

Confidential Information shall not, however, include any information which the Recipient can establish: (i) is in, or became part of the public domain without violation of this Statement; (ii) was in the Recipient’s possession prior to the obligation of confidentiality received from AVIREX; (iii) was legally obtained by the Recipient from a third party without an obligation of confidentiality; (iv) was independently developed by the Recipient as demonstrated by written records, completely independent of any such disclosure by AVIREX; (v) was approved for release by express written agreement of AVIREX. The above exceptions have to be evidenced by the Recipient. If only a portion of the Confidential Information falls under any of the

above exceptions, then only that portion of the Confidential Information shall be excluded from the use and disclosure restrictions herein.

Court Proceedings: If the Recipient is required to disclose Confidential Information in order to comply with a judicial order or decree, or request of an arbitral court, the Recipient shall immediately after gaining knowledge or receiving notice of such action, notify AVIREX thereof. The Recipient shall use its best efforts, (e.g. by asserting in such action any applicable privileges) and give AVIREX the opportunity to seek any legal remedy so as to maintain the confidentiality of the Confidential Information.

Non-use and Non-disclosure: The Recipient agrees to treat Confidential Information in a strictly confidential manner and to keep it confidential for the exclusive benefit of AVIREX. The Recipient agrees not to provide access to the Confidential Information to its employees or suppliers except to the extent strictly necessary for the completion of the Project. The Recipient warrants that its employees and any other person acting for it or collaborating with it, such as subcontractors, will strictly adhere to the obligations contained herein. The Recipient shall be held liable to AVIREX for all breaches by such persons who are given access to the Confidential Information by the Recipient. The Recipient agrees to take all reasonable measures to protect confidentiality and avoid disclosure and/or unauthorized use of the Confidential Information, including but not limited to measures taken to protect the Recipient’s own confidential information. The Recipient agrees to notify AVIREX promptly in writing of any misuse or misappropriation of Confidential Information that may come to the Recipient’s attention.

The Recipient agrees not to use any Confidential Information disclosed to it by AVIREX for any other reason except the Purpose. Unless AVIREX previously agrees otherwise in writing, the Recipient agrees neither to use Confidential Information for its own advantage, or to copy, counterfeit, publish or divulge it in any way whatsoever, nor to allow third parties to use Confidential Information for their own benefit or to AVIREX’s detriment.

Data Protection: The Recipient, its employees and any other person acting for it or collaborating with it shall comply with all applicable data protection laws and in particular, with the principles of lawfulness, fairness, transparency, proportionality, minimization, accuracy, security and notification. The Recipient shall only process (including use, store, disclose or transfer) personal data based on a legitimate ground (e.g. for the performance of the Project, for compliance with a legal obligation, or based on the consent of the data subject). The Recipient shall give all needed and useful information to the data subjects, and in particular, inform them of their rights regarding their personal data and the purposes for which their personal data are processed. The Recipient shall ensure an appropriate level of data protection by adopting appropriate technical and organizational security measures to prevent all possible damage, destruction, loss, unauthorized or accidental access, copying, theft, cyberattack or other similar risks.

No License: The Recipient acknowledges that AVIREX is the exclusive owner of the Confidential Information and of all patents, trademarks, copyright[s] or titles to intellectual property that may arise from it. Nothing herein is intended to grant any rights to the Recipient under any patent, trademark, copyright or title to intellectual property, nor grant the Recipient any rights in or to Confidential Information except as expressly set forth herein. The Recipient agrees not to use the “AVIREX” name or models, either in its own advertising or in any document whatsoever, without AVIREX’s prior express consent.

No Obligation: Nothing herein shall obligate AVIREX to proceed with the Project or any other transaction between AVIREX and the Recipient. AVIREX reserves the right, in its sole discretion, to terminate the discussions contemplated by this Statement concerning the Project.

No Warranty: All Confidential Information is provided “as is”- AVIREX makes no warranties, express, implied or otherwise, regarding its accuracy, completeness or otherwise.

Return of Materials: The Recipient shall immediately return all materials (plans, drawings, prototypes, equipment, etc.) relevant to the Confidential Information that are in its possession to AVIREX upon AVIREX’s written request. After the end of the Project, the electronic files, working copies and other documents or objects relating to the Project shall be destroyed or returned to AVIREX at AVIREX’s express request.

Term: This Statement enters into effect on the date when it is signed or on the date when the Confidential Information is first communicated if this latter date is prior to the date when this Statement is signed. Even after the end of the business relationships, the Recipient is bound not to divulge the Confidential Information as long as the Confidential Information remains confidential.

Remedies: If any of the obligations herein are violated, the Recipient must pay AVIREX a contractual penalty of 10,000.00 per infraction, subject to reparation of any further damage.

Governing Law; Jurisdiction: This Statement is governed by Texas law. Any disagreement or litigation related to this Statement shall be brought before the Courts of Texas.

Assignment: The Recipient may not assign this Statement or any of its rights, obligation, or benefits hereunder, by operation of law or otherwise, without AVIREX’s prior written consent.

Entire Agreement: The Statement contains the entire agreement between AVIREX and the Recipient with respect to the subject matter hereof. Any failure to enforce any provision of this Statement shall not constitute a waiver thereof or of any other provision hereof. This Statement may not be amended, nor any obligation waived, except by a writing signed by AVIREX and the Recipient.

Severability: In the event any term of this Statement is found by any court to be void or otherwise unenforceable, the remainder of this Statement shall remain valid and enforceable as though such term were absent upon the date of its execution.
